Acceptance of Terms

By accessing or using the website and services of OWNTHUM AI ("Company", "we", "us", or "our"), you ("Client" or "User") agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

These Terms constitute a legally binding agreement between you and OWNTHUM AI. Using our website, submitting a consultation form, or engaging our services signifies your acceptance of these Terms.

Our Services

OWNTHUM AI provides AI automation consulting and implementation services including, but not limited to:

• AI strategy consulting and workflow audits
• Custom AI chatbot development and deployment
• Business workflow automation using platforms such as Zapier, Make, and n8n
• Autonomous AI agent development
• CRM automation and sales pipeline optimisation
• Data intelligence and analytics dashboards
• API integrations between systems
• Custom AI system architecture and development

The exact scope of services delivered to each client is defined in a separate Statement of Work (SOW) or Service Agreement, which forms part of these Terms when agreed upon.

Eligibility

To use our services, you must:

• Be at least 18 years of age
• Have the legal authority to enter into a binding agreement on behalf of yourself or your organisation
• Not be prohibited from using our services under applicable law
• Provide accurate, truthful, and complete information during onboarding

By using our services, you represent and warrant that you meet all of the above eligibility requirements.

Accounts & Access

Certain services may require you to create an account or share credentials to third-party tools. You are responsible for:

• Maintaining the confidentiality of any account credentials you share with us during a project
• All activities that occur under your account or your organisation's account
• Immediately notifying us of any unauthorised use or security breach
• Revoking our access to your systems and accounts promptly upon project completion or termination

We will only access client systems and credentials strictly within the scope of work agreed upon and will handle all credentials with the highest level of confidentiality.

Payment & Billing

Fees

Fees for our services are set out in the applicable proposal or service agreement. All prices are quoted in Indian Rupees (INR) unless otherwise agreed in writing.

Payment Terms

• A deposit or advance payment may be required before work commences, as specified in the project proposal
• Invoices are payable within the timeframe specified — typically 7 to 14 days from invoice date
• Late payments may incur interest charges as specified in the service agreement
• Continued non-payment may result in suspension or termination of services

Refunds

Due to the custom nature of our services, payments made for work already completed are generally non-refundable. Refund eligibility for deposits or advance payments will be outlined in the individual service agreement.

Intellectual Property

Client IP

All intellectual property rights in materials, data, and content provided by you to OWNTHUM AI remain your property. You grant us a limited licence to use such materials solely for the purpose of delivering the agreed services.

OWNTHUM AI IP

All proprietary frameworks, methodologies, templates, tools, and pre-existing intellectual property developed or owned by OWNTHUM AI remain our exclusive property, regardless of whether they are used in your project.

Deliverables

Upon receipt of full payment, ownership of custom deliverables specifically created for your project will transfer to you, except for any underlying frameworks, tools, or third-party components used within them, which remain subject to their respective licences.

Website Content

All content on the OWNTHUM AI website — including text, graphics, logos, and code — is our intellectual property and may not be reproduced without written consent.

Client Obligations

To enable successful delivery of our services, you agree to:

• Provide timely access to necessary systems, data, and personnel as required
• Provide accurate, complete, and up-to-date information required for the project
• Designate a point of contact responsible for reviewing deliverables and providing feedback
• Respond to requests for information, approvals, or feedback within agreed timeframes
• Ensure that any data provided to us is lawfully obtained and you have the right to share it
• Use the delivered AI systems in compliance with applicable laws and ethical guidelines

Delays caused by failure to meet these obligations may affect project timelines and costs, and OWNTHUM AI shall not be held liable for such delays.

Prohibited Use

You agree not to use our services or website to:

• Violate any applicable local, national, or international laws or regulations
• Build AI systems intended to harm, deceive, manipulate, or discriminate against individuals
• Process personal data without proper legal basis or consent under applicable data protection laws
• Engage in any activity that infringes third-party intellectual property rights
• Transmit malicious code, spam, or disruptive content
• Attempt to reverse-engineer, copy, or misappropriate our proprietary methodologies or tools
• Misrepresent your identity or organisational affiliation
• Use deliverables for any purpose not agreed upon in the service agreement

Violation of these terms may result in immediate termination of services and, where applicable, legal action.

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement ("Confidential Information"), including but not limited to business strategies, technical systems, pricing, and client data.

• Confidential Information shall not be disclosed to third parties without prior written consent
• Each party will use Confidential Information only for the purposes of delivering or receiving the agreed services
• Obligations of confidentiality survive termination of the service agreement for a period of 3 years
• Exceptions apply where disclosure is required by law or where the information enters the public domain through no fault of either party

Specific confidentiality obligations may be further defined in a Non-Disclosure Agreement (NDA) signed between the parties.

Disclaimers

Our services are provided on an "as is" and "as available" basis. While we strive to deliver high-quality AI automation solutions, we make no warranties, express or implied, regarding:

• The uninterrupted, error-free, or secure operation of delivered AI systems
• Specific business outcomes, revenue increases, or cost savings resulting from our services
• The accuracy or completeness of AI-generated outputs — all AI systems require human oversight
• The continued availability or performance of third-party platforms integrated within your solution

Limitation of Liability

To the fullest extent permitted by applicable law, OWNTHUM AI shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from reliance on AI-generated outputs without appropriate human review
• Service interruptions caused by third-party platform outages or changes
• Damages resulting from your failure to meet your obligations as a client

In no event shall our total liability to you exceed the total fees paid by you to OWNTHUM AI in the three (3) months immediately preceding the event giving rise to the claim.

This limitation of liability applies regardless of the form of action, whether in contract, tort, or otherwise.

Termination

Termination by Client

You may terminate a service agreement by providing written notice as specified in your service agreement. Termination fees or payment for work completed to date may apply as outlined in the agreement.

Termination by OWNTHUM AI

We may suspend or terminate our services immediately if:

• You breach these Terms or the service agreement and fail to remedy the breach within 7 days of written notice
• You fail to make payment when due
• You engage in fraudulent, illegal, or abusive behaviour
• We determine that continuing to provide the service would violate applicable law

Effect of Termination

Upon termination: all outstanding fees become immediately due and payable; access to our systems and tools is revoked; each party will return or destroy the other's Confidential Information as requested; provisions relating to intellectual property, confidentiality, and liability survive termination.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be subject to the exclusive jurisdiction of the courts located in Gujarat, India.

Nothing in this clause limits our right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect our intellectual property or Confidential Information.

Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, notify active clients by email.

Your continued use of our services after changes are posted constitutes your acceptance of the revised Terms. If you do not agree with the changes, you should discontinue use of our services.

For ongoing service agreements, material changes to Terms will apply upon renewal or as otherwise specified in the notice of change.
